Expressions of Interest
The Ethiopian Electric Power (“EEP”) has received a financing from the European Union ("UE"), the management of which has been delegated to the Agence Française de Développement ("AFD"), and intends to use part of the funds thereof for payments under the following project “Consultancy Services for Renewable Energy Public Private Partnership (PPP) Capacity Building and Kebri Beyah Wind Farm Transaction Advisory Services for Ethiopian Electric Power”.
The Services of the consultant shall consist of:
a) Executing the complete Kebri Beyah Wind Farm PPP transaction from pre-qualification through financial close, including preparation of all procurement documentation, management of the competitive bidding process, and facilitation of contract negotiations.
b) Strengthening EEP's PPP pipeline management capacity through the development and operationalization of comprehensive tools, standardized templates, and systematic evaluation frameworks for both competitive procurements and unsolicited proposals.
c) Developing directories of standard contractual clauses using Kebri Beyah transaction document as reference, as well as contractual documents from EEP’s previous transactions, including Power Purchase Agreements (PPAs) and Implementation Agreements (IAs) adaptable to different renewable energy technologies and project scales.
d) Enhancing internal financial modeling capabilities for renewable energy project evaluation, covering wind, solar, and geothermal technologies.
e) Delivering comprehensive capacity building programs including theoretical training, hands-on transaction experience, and international study tour to ensure complete knowledge transfer and sustainable institutional development.
The consultancy Services is intended to conduct the transaction of the Kebri Beyah Wind Power Plant (150 MW) under a PPP modality from prequalification to financial close, using this concrete hands-on transaction to strengthen EEP's institutional capacity for managing renewable energy PPP transactions. The Consultancy contract will have a 2-year duration and the total budget for this assignment is capped at EUR 1,062,000.
The EEP hereby invites Applicants to show their interest in delivering the Services described above. This Request for Expressions of Interest is open to:

Eligibility criteria to AFD financing are specified in sub-clause 1.3 of the "Procurement Guidelines for AFD-Financed Contracts in Foreign Countries", available online on AFD’s website: http://www.afd.fr.
A Consultant will be selected in accordance with the Fixed Bugdet Selection (FBS) method set out in the Consultant Guidelines.
The Applicant shall submit only one application, either in its own name or as a member of a Joint Venture (JV). If an Applicant (including any JV member) submits or participates in more than one application, those applications shall be all rejected. However, the same Subconsultant may participate in several applications.
If the Applicant is a JV, the expression of interest shall include:
a copy of the JV Agreement entered into by all members, or
a letter of intent to execute a JV Agreement, signed by all members together with a copy of the Agreement proposal,
In the absence of this document, the other members will be considered as Subconsultants.
Experiences and qualifications of Subconsultants are not taken into account in the evaluation of the applications.
Interested Applicants must provide information evidencing that they are qualified and experienced to perform those Services. For that purpose, documented evidence of recent and similar services shall be submitted.
In particular, it is expected that Applicants present past experience for contracts whose characteristics are similar to one or more of the following criteria:
1. The contracts size above 1 million euro (or in other equivalent currency) for similar transaction service (PPP structuring and procurement advisory) for renewable energy PPP project(s) for which the firm worked as a consultant; (Transaction service that covers mainly from prequalification to financial close).
2. Experience in conducting PPP capacity building programs (e.g. PPP structuring, financial modeling), preferaby having experience in PPP projects pipeline management;
3. A firm that has completed 5 (five) renewable energy PPP transaction service in the past 10 years.
4. A firm that has completed PPP transaction service for at least 1 (one) utility scale wind farm project with a capacity above 50 MW in the past 10 years.
5. A firm that possesses technical capability and expertise in at least three (3) of the following areas:
a. Wind energy PPP structuring and procurement;
b. Wind / solar / geothermal/ hydro project (identification, feasibility, structuring and development);
c. Wind / solar / geothermal/ hydro projects legal, technical and financial assistance during tender phase;
d. Financial modeling for infrastructure projects;
e. Government institutional capacity building in PPP;
6. A firm having a similar transaction service (PPP structuring and procurement advisory) for renewable energy PPP project(s), preferably located within a comparable geographical area in the Sub-Saharan African region.
The Client will also take into account for the evaluation of the applications the following items:
Skills and availability of in-house technical and legal back-up experts provided to the on-site experts;
Local representatives/partners;
Quality assurance procedures and certifications of the Applicant (for example, ISO 9001 and ISO14001 – state if your company is ISO certified).
Guideline for expression of interest
Expressions of interest should be submitted in one (1) hard copy and one (1) soft copy in PDF format.
In order to ease the evaluation process, it is required that the application documents do not exceed eighty (80) pages in written in English language, gathered in one (1) file with a maximum size of 10 MB.
The expression of interest file shall include at a minimum;
• The letter of expression of interest signed by the Applicant or representative of the JV;
• The copy of the joint venture (JV) agreement (if relevant);
• The presentation of the main Applicant (legal existence, organizational chart & staff, audited financial statement/turnover over the last 3 years etc. certificate of non-bankruptcy if available);
• The relevant past and ongoing references of the Applicant since January 2015 with the description (year(s) of implementation, duration of services, client, country, brief description..)
• A concept note of up to two (2) pages describing briefly the understanding of the service;
• The signed “Statement of Integrity, Eligibility and Environmental and Social Responsibility” (the “Form” can be obtained at, https://tenders-afd.dgmarket.com/).
Among the submitted applications, EEP will shortlist a maximum of six (6) Applicants, to whom the Request for Proposals to carry out the Services shall be sent.
The Expressions of Interest must be submitted to the address below no later than 06 March 2026, 4:00 PM Local Time (Addis Ababa).

The Client will respond to requests for clarification in writing, publishing the responses on the same media as the initial publication of the Request for Expressions of Interest, without identifying the entity which made the request for clarifications.
